AGREEMENT TO OUR LEGAL TERMS

We are VUGA Foundation, Inc. (“Foundation,” “we,” “us,” or “our”), a Florida not-for-profit corporation recognized by the U.S. Internal Revenue Service as a public charity under section 501(c)(3) of the Internal Revenue Code (EIN 99-3203308).

These Terms of Use (the “Legal Terms”) govern your access to and use of https://vugafoundation.org and any other online content, donation tools, e-mail newsletters, or services that link to or reference these Legal Terms (collectively, the “Services”).

BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE LEGAL TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

We may revise these Legal Terms at any time. When we do, we will update the “Last updated” date above. Your continued use of the Services after any such change constitutes acceptance of the revised Legal Terms.

1. OUR SERVICES

The Foundation’s mission is to _______________________. The Services provide educational content about our programs and may allow users to make online donations, sign up for events, or volunteer. Information on the Services is not intended for distribution or use in any jurisdiction where such distribution or use would be unlawful or subject us to registration requirements we do not meet.

Donation-Related Content

Unless otherwise stated, donations made through the Services are irrevocable gifts to the Foundation. We will provide donors with tax receipts in accordance with U.S. law; however, we make no representations about the tax consequences of your gift outside the United States. Please consult your tax advisor.

Third-Party Content

The Services may display articles, videos, or other materials created by third parties (“Third-Party Content”). We do not endorse, guarantee, or assume responsibility for Third-Party Content and you use it at your own risk.

2. INTELLECTUAL PROPERTY RIGHTS

We own or license all content on the Services—including text, graphics, audio, video, and trademarks (the “Content” and “Marks”). You are granted a limited, revocable, non-transferable license to access the Services and to download or print portions of the Content for personal, non-commercial, and charitable information purposes only. Any other use requires our prior written permission.

3. USER REPRESENTATIONS

By using the Services, you represent that (i) you have the legal capacity to enter into these Legal Terms; (ii) you are at least the age of majority where you live, or you have parental consent; (iii) you will comply with all applicable laws; and (iv) any information you provide is accurate and complete.

4. PROHIBITED ACTIVITIES

You agree not to use the Services for any unlawful or harmful purpose, including but not limited to the activities listed below:

Scraping or harvesting data without permission;
Interfering with security-related features;
Posting false, offensive, or infringing content;
Uploading viruses or other malicious code;
Soliciting funds on behalf of organizations other than the Foundation without authorization;
Engaging in any activity that could damage the goodwill of the Foundation.

5. USER-GENERATED CONTRIBUTIONS

If the Services allow you to post comments, photos, or other content (“Contributions”), you remain the owner of your Contributions, but you grant us a worldwide, royalty-free license to display and otherwise use them in furtherance of our charitable mission. You are solely responsible for your Contributions.

6. CONTRIBUTION LICENSE

By submitting ideas or feedback, you grant the Foundation an unrestricted right to use that feedback without compensation. We do not claim ownership of your copyrighted works uploaded to the Services, but you grant us the necessary rights to display and share them as described in Section 5 above.

7. SERVICES MANAGEMENT

We reserve the right to monitor the Services for compliance, remove or disable content, and suspend or terminate accounts in our sole discretion, all without notice or liability.

8. TERM AND TERMINATION

These Legal Terms remain in effect while you use the Services. We may suspend or terminate your access at any time for any reason, including for violation of these Legal Terms.

9. MODIFICATIONS & INTERRUPTIONS

We may change, suspend, or discontinue any aspect of the Services at any time. We are not liable for any downtime, data loss, or other harm arising from such changes.

10. GOVERNING LAW

These Legal Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles.

11. DISPUTE RESOLUTION

Informal Resolution. Before filing any claim, each party agrees to make a good-faith effort to resolve the dispute informally by providing written notice to the other party and allowing 30 days for a response.

Arbitration. If unresolved, disputes will be settled by binding arbitration administered by the American Arbitration Association in Miami-Dade County, Florida. The language shall be English. Either party may seek injunctive relief in a court of competent jurisdiction for alleged infringement of intellectual-property or charitable-solicitation laws.

No Class Actions. Disputes will be arbitrated only on an individual basis; class-action waivers apply to the fullest extent permitted by law.

12. CORRECTIONS

The Services may contain typographical errors or inaccuracies. We reserve the right to correct them without notice.

13. DISCLAIMER

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

14. LIMITATIONS OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, THE FOUNDATION, ITS DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR, IF GREATER, THE AMOUNT YOU DONATED THROUGH THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Foundation and its affiliates from any claims or damages arising out of (i) your use of the Services, (ii) your violation of these Legal Terms, or (iii) your infringement of any intellectual-property or other rights.

16. USER DATA

We maintain data you submit in accordance with our Privacy Policy, incorporated herein by reference. You are responsible for maintaining backup copies of your own data.

17. ELECTRONIC COMMUNICATIONS, TRANSACTIONS & SIGNATURES

You consent to receive communications from us electronically and agree that electronic signatures and records have the same legal effect as originals.

18. MISCELLANEOUS

These Legal Terms constitute the entire agreement between you and the Foundation regarding the Services. If any provision is held invalid, the remaining provisions shall remain enforceable. No waiver by the Foundation shall be deemed a further or continuing waiver of such term or condition.
